If you do not agree, you should not use the Application.

Your use may also be subject to mandatory Google Play, Apple App Store and other platform terms and applicable law.

If your country requires a higher age or additional contractual capacity, that requirement applies.

Practitioner’s Guide is not currently designed or offered as a service for children.

3. Licence

Subject to:

compliance with these Terms;

payment of any applicable purchase or subscription fee; and

applicable platform rules,

Merixa grants you a limited, non-exclusive, non-sublicensable and revocable licence to use Practitioner’s Guide on compatible devices that you own, control or are authorised to use.

The Application is licensed, not sold.

4. Permitted use

The licence permits lawful:

personal learning;

educational use;

professional development;

examination preparation;

internal business learning; and

professional-reference use by the licensed user.

5. Nature of the Application

Practitioner’s Guide is intended to:

explain professional concepts;

provide structured learning material;

provide learning sequences; and

allow users to interact with an AI Tutor.

It is a learning tool.

It does not replace:

formal tuition;

professional qualification material;

prescribed course material;

examination regulations;

professional judgement;

qualified professional advice; or

official technical standards.

6. No professional engagement

tax advice;

legal advice;

investment advice;

regulated financial advice;

risk assurance;

management consultancy;

career counselling;

examination certification; or

another professional engagement.

7. Professional reference material

Practitioner’s Guide may explain concepts relating to professional standards, regulations, accounting, audit, risk, governance or related areas.

Professional standards and regulations change.

You remain responsible for checking authoritative and current sources where accuracy is material.

Application content should not be treated as replacing:

legislation;

accounting standards;

regulatory publications;

professional-body materials;

official examination syllabuses; or

professional advice.

8. Jurisdictional differences

Professional concepts may differ between jurisdictions.

Availability of Practitioner’s Guide in a country does not mean that every Library card, example, Tutor response or Path applies unchanged in that country.

You are responsible for determining the law, standard, syllabus or professional framework applicable to your particular use.

9. AI Tutor

Practitioner’s Guide contains an AI-assisted Tutor powered through the OpenAI API.

When using the Tutor, you acknowledge that:

you are interacting with artificial intelligence;

responses are generated probabilistically;

responses can be inaccurate;

responses can be incomplete;

responses can be outdated;

responses can misunderstand context;

similar questions can produce different answers;

an apparently confident answer may still be incorrect; and

material information should be independently verified.

10. AI transparency

Practitioner’s Guide will identify the AI nature of the Tutor at or before the first relevant interaction where required.

The Tutor must not be represented as:

a human tutor;

a Merixa accountant;

a qualified auditor;

a lawyer;

a tax adviser;

a financial adviser; or

another human professional.

11. AI output is not a sole source of truth

You must not rely solely on an AI Tutor response for a significant:

professional;

accounting;

audit;

legal;

regulatory;

financial;

educational;

examination;

employment; or

commercial

decision.

Where accuracy matters, use authoritative sources and appropriate human review.

12. Workplace Coach

Workplace Coach is intended to support exploration of how professional concepts may apply in workplace situations.

Examples produced by Workplace Coach may be simplified, hypothetical or incomplete.

They are not instructions tailored to your employer, client or organisation.

You remain responsible for:

workplace policies;

confidentiality;

professional obligations;

internal controls;

regulatory requirements; and

decisions made at work.

13. Exam Coach

Exam Coach is intended to support legitimate study and examination preparation.

It may help users:

explain concepts;

practise techniques;

work through examples;

understand mistakes;

review topics;

explore reasoning; and

prepare for examinations.

It must not be used to facilitate academic dishonesty.

14. Academic integrity

You must not use Practitioner’s Guide to:

obtain prohibited assistance during a live examination;

answer a closed-book examination where AI assistance is prohibited;

complete an assessment dishonestly;

impersonate another student or candidate;

submit AI-generated material as entirely your own where disclosure is required;

evade plagiarism or AI-use rules;

fabricate citations or evidence;

circumvent examination controls; or

violate institutional or professional-body academic-integrity requirements.

You are responsible for understanding the rules applicable to your course, qualification, examination or assessment.

15. No guarantee of examination success

Merixa does not guarantee that use of Practitioner’s Guide will:

improve a particular grade;

result in an examination pass;

satisfy a professional-body syllabus;

secure admission;

obtain professional membership;

obtain employment;

produce a particular learning outcome; or

replace official tuition or study materials.

16. No affiliation with professional bodies

Practitioner’s Guide may refer to professional organisations, regulators, standards or examinations.

Unless expressly stated, such references do not mean that:

the organisation sponsors Practitioner’s Guide;

Merixa is officially affiliated with it;

the organisation has approved Practitioner’s Guide;

Practitioner’s Guide is official study material; or

an organisation guarantees the accuracy of Application content.

Names and trademarks remain the property of their respective owners.

17. Information submitted to AI

You are responsible for information submitted to the AI Tutor.

You should remove unnecessary personal or confidential information before submitting a prompt.

You must not use Practitioner’s Guide to disclose information where doing so would breach:

law;

confidentiality;

professional secrecy;

legal privilege;

an employment obligation;

client confidentiality;

privacy rights;

intellectual-property rights; or

a contractual restriction.

18. Sensitive information

Practitioner’s Guide is not designed as a repository for sensitive client, employee, medical, legal or financial records.

You should not submit:

passwords;

security credentials;

payment-card details;

sensitive client files;

health information;

criminal-record information;

identification documents;

legally privileged material; or

another person’s confidential information

unless legally authorised and genuinely necessary.

19. OpenAI

AI functionality depends on services supplied through the OpenAI API.

OpenAI services are subject to technical, safety, usage and availability restrictions.

Merixa may need to:

change models;

change configurations;

alter prompts;

implement safety filters;

limit functionality;

restrict certain requests; or

suspend AI functionality

to comply with law, OpenAI requirements, platform policies or safety obligations.

20. Safety controls

The Tutor may refuse, redirect, limit or otherwise decline requests where a request is:

unlawful;

harmful;

unsafe;

abusive;

deceptive;

academically dishonest;

privacy-invasive;

designed to bypass safeguards; or

inconsistent with applicable AI-service policies.

A refusal does not necessarily mean that Merixa has made a legal determination about the user.

21. Reporting AI output

Practitioner’s Guide may provide functionality allowing users to report or flag problematic AI-generated responses.

You may report content that appears:

unsafe;

offensive;

inappropriate;

factually problematic;

harmful;

deceptive; or

inconsistent with Application safeguards.

Merixa may use those reports for safety investigation, moderation and improvement of Application safeguards.

22. User-created material

Merixa does not claim ownership merely because you type your original information or learning notes into Practitioner’s Guide.

You remain responsible for having the legal right to use anything that you submit.

23. AI-generated outputs

Subject to applicable law and third-party rights, you may use Tutor responses produced for you for lawful:

personal;

educational;

internal-business; and

professional-development

purposes.

AI output may not be unique.

Other users may receive identical or similar responses.

24. Intellectual-property uncertainty in AI outputs

Artificial-intelligence outputs can contain or resemble third-party material.

Merixa does not guarantee that every AI-generated output is capable of exclusive copyright ownership or is free from all third-party rights.

Before publishing or commercially exploiting material generated by the Tutor, you are responsible for determining whether further review or permission is appropriate.

25. Merixa intellectual property

Merixa and its licensors retain intellectual-property rights in Practitioner’s Guide and proprietary materials including:

software;

source code;

Application architecture;

interface design;

Library material;

Paths;

explanations;

workplace examples;

professional taxonomies;

classifications;

learning structures;

templates;

graphics;

branding;

trademarks; and

other proprietary content.

26. Restrictions

Except where applicable law prohibits the restriction, you must not:

redistribute the Application;

reproduce substantial portions of the Library;

create a competing database from Merixa content;

systematically scrape Practitioner’s Guide;

use automated extraction tools to reproduce Library content;

train or populate a competing AI model using substantial Merixa proprietary content;

bypass subscriptions or entitlement controls;

reverse engineer the Application;

attempt to extract source code;

circumvent safety controls;

sell or sublicense Application access;

misrepresent Merixa content as your own proprietary database;

interfere with security; or

use Practitioner’s Guide unlawfully.

Reasonable use of individual explanations or outputs for legitimate learning and professional work is not prohibited by this section.

27. Saved conversations and local information

Practitioner’s Guide may allow material and Tutor conversations to be saved locally.

Merixa does not undertake to provide permanent cloud backup for locally stored material.

You are responsible for:

securing your device;

preserving material you wish to retain;

managing device backups;

controlling access to saved conversations; and

exporting or copying information where necessary.

28. Voice and narration

Practitioner’s Guide may provide voice input and narration.

Voice functionality may depend on:

microphone permissions;

operating-system services;

network connectivity;

speech-processing services;

AI services; and

temporary audio or text caching.

Availability and quality may vary by device, language and service availability.

29. Purchases and subscriptions

Paid functionality may be offered through Google Play or the Apple App Store.

Before purchase, the relevant store will display applicable:

price;

currency;

billing period;

subscription duration;

trial;

introductory offer;

renewal arrangement; and

other material purchase terms.

30. Free trials

Where a free trial is offered, the applicable duration and conditions will be displayed through the relevant store.

An automatically renewing subscription may become paid when the trial ends unless cancelled within the period specified by the store.

Eligibility for trials may be limited.

31. Automatic renewal

An automatically renewing subscription will renew through the relevant store until cancelled.

Deleting Practitioner’s Guide does not itself cancel a subscription.

32. Cancellation

Google Play subscriptions should normally be managed through Google Play subscription controls.

Apple subscriptions should normally be managed through Apple subscription controls.

Cancellation ordinarily prevents future renewal while allowing access for the remaining paid period, subject to applicable store terms and law.

33. Refunds

Refund requests are ordinarily administered through the platform through which the purchase was made.

This does not remove mandatory refund or consumer rights provided by applicable law.

34. Mandatory consumer rights

Nothing in these Terms excludes mandatory rights that applicable consumer law does not permit Merixa to exclude.

Where local mandatory consumer law conflicts with these Terms, that mandatory requirement prevails to the extent of the conflict.

35. Availability of AI functionality

AI functionality depends on third-party infrastructure and may occasionally be unavailable.

Merixa does not guarantee uninterrupted access to a particular:

AI model;

model version;

voice;

response style;

response speed; or

OpenAI feature.

A model or configuration may be replaced where reasonably necessary.

36. Usage limits

AI functionality may be subject to reasonable:

request limits;

rate limits;

fair-use controls;

message limits;

narration limits;

context limits; or

other technical limits.

Limits may be necessary to maintain safety, availability and sustainable operation.

Material restrictions affecting a paid service will remain subject to mandatory consumer law.

37. Changes to the Library and Paths

Professional content evolves.

Merixa may:

add concepts;

update explanations;

correct content;

change learning sequences;

add or remove examples;

revise Paths; and

update material to reflect changing professional practice.

Merixa does not guarantee that a particular Library card or Path will remain unchanged indefinitely.

38. External resources

Practitioner’s Guide may link to official or professional websites.

Merixa is not responsible for independent third-party content, availability or privacy practices.

A link does not imply endorsement or affiliation unless expressly stated.

39. Internet and device requirements

AI Tutor and certain voice functionality require network connectivity.

You are responsible for:

internet access;

mobile-data costs;

roaming charges;

compatible hardware; and

appropriate device software.

40. Updates and compatibility

Merixa may release updates for:

security;

compatibility;

AI-service changes;

content improvements;

platform requirements;

legal compliance;

safety; or

functionality.

Older versions may cease to operate fully where continued compatibility is impracticable.

41. Suspension

Merixa may restrict access where reasonably necessary because of:

serious breach of these Terms;

abuse;

unlawful activity;

attempts to circumvent safeguards;

academic-dishonesty misuse;

security threats;

platform requirements;

OpenAI service requirements; or

applicable law.

42. Discontinuation

Merixa may discontinue Practitioner’s Guide or a feature.

Where reasonably practicable, appropriate notice will be given where discontinuation materially affects paid users.

Mandatory refund or consumer rights remain unaffected.

43. Privacy

Use of Practitioner’s Guide is subject to the separate:

Merixa Practitioner’s Guide Privacy Policy

The Privacy Policy explains:

local storage;

OpenAI processing;

Tutor prompts;

voice functionality;

caching;

international transfers;

retention;

AI reports; and

privacy rights.

44. No guarantee of accuracy

To the fullest extent permitted by law, Merixa does not guarantee that every:

Library entry;

Path;

example;

AI response;

definition;

citation;

calculation;

professional interpretation; or

explanation

is free from error.

Users should independently verify material information.

45. Business and professional users

Where Practitioner’s Guide is used wholly or mainly for business or professional purposes, Merixa will not, to the fullest extent permitted by law, be liable for:

indirect loss;

consequential loss;

loss of profits;

loss of revenue;

loss of business;

loss of opportunity;

loss caused by reliance on unverified AI output;

loss caused by professional misuse;

examination or qualification failure;

loss resulting from use contrary to professional rules; or

loss resulting from disclosure of information by the user.

Subject to liabilities that cannot legally be limited, Merixa’s aggregate liability to a Business User arising from Practitioner’s Guide will not exceed the greater of:

£100; or

the total amount paid by that user for Practitioner’s Guide during the 12 months preceding the event giving rise to the claim.

46. Consumer liability

Nothing in these Terms excludes liability where doing so would be unlawful.

Nothing excludes or limits liability for:

death or personal injury caused by negligence;

fraud;

fraudulent misrepresentation; or

another liability that cannot legally be excluded.

Mandatory consumer rights remain unaffected.

47. Apple App Store

Where Practitioner’s Guide is obtained through the Apple App Store, applicable Apple platform and usage rules also apply.

Purchases and subscriptions through Google Play are administered through Google’s platform.

Google Play AI-content and other applicable policies may also affect Application functionality.

49. Global availability

Practitioner’s Guide may be available internationally.

Availability in a jurisdiction does not mean that:

all professional material applies there;

all examinations are covered;

all regulatory frameworks are represented;

every AI response is appropriate for that jurisdiction; or

Merixa is providing locally regulated professional advice.

50. Compliance with law

You must use Practitioner’s Guide lawfully.

You must not use it for:

unlawful activity;

infringement of another person’s rights;

fraud;

deceptive activity;

academic dishonesty;

malicious activity;

prohibited discrimination;

unauthorised high-stakes automated decision-making; or

another prohibited use.

51. Governing law

These Terms and non-contractual obligations arising from them are governed by the laws of England and Wales.

For Business Users, the courts of England and Wales will have jurisdiction subject to mandatory law.

For consumers, this does not remove mandatory rights or jurisdictional protections applicable in the consumer’s country of residence.

52. Changes to these Terms

Merixa may update these Terms to reflect:

changes to Practitioner’s Guide;

OpenAI services;

AI law;

privacy law;

consumer law;

platform requirements;

professional content;

security; or

business arrangements.

Where law requires additional notice or acceptance before a material change becomes binding, Merixa will comply.
